Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nosy platform, available at nosy.ro and reviews.nosy.ro (the "Service"), operated by THE LUMINA STUDIO SRL ("Nosy", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Nosy is a software-as-a-service platform that helps businesses manage their online reputation and visibility, including collecting and responding to reviews, generating and publishing content, tracking search rankings, and managing related online presence. Features available to you depend on your selected plan.

2. Accounts

You must provide accurate and complete information when registering and keep it up to date.
You are responsible for safeguarding your account credentials and for all activity under your account.
You must notify us promptly of any unauthorized use of your account.
You must be authorized to act on behalf of the business you register and to connect any third-party accounts (such as Google) to the Service.

3. Connected third-party services

The Service integrates with third-party services, including Google Business Profile, Google Search Console, Google Merchant Center / Google Shopping, and — where you choose to connect them — your Facebook Page and Instagram Business account. When you connect these accounts, you authorize Nosy to access and act on the associated data on your behalf, as described in our Privacy Policy.

Your use of Google and Meta services through Nosy is also subject to those providers' own applicable terms. Nosy's access to and use of Google user data complies with the Google API Services User Data Policy, including its Limited Use requirements. Our access to and use of Facebook and Instagram data complies with Meta's Platform Terms and Developer Policies. You may disconnect any connected service at any time.

4. Acceptable use

You agree not to:

Use the Service for any unlawful, fraudulent, or harmful purpose.
Generate, publish, or solicit fake, deceptive, or incentivized reviews, or otherwise violate the policies of any connected platform (including Google's review policies).
Upload or generate content that is illegal, infringing, defamatory, or violates the rights of others.
Attempt to gain unauthorized access to the Service, other accounts, or our systems.
Interfere with or disrupt the integrity or performance of the Service.
Reverse engineer or attempt to extract the source code of the Service, except as permitted by law.

You are responsible for ensuring that your use of the Service — including any content published on your behalf — complies with applicable laws and the policies of the platforms you connect.

5. Your content

You retain ownership of the business information and content you provide. You grant us a limited license to use, process, and display that content solely to operate and provide the Service to you. You are responsible for the accuracy and legality of the content you provide and publish.

6. Fees and payment

Paid plans are billed according to the pricing communicated to you at sign-up or in your agreement with us.
Unless otherwise stated, fees are recurring (for example, monthly) and may include one-time setup fees.
Fees are exclusive of applicable taxes (such as VAT) unless stated otherwise.
Late or failed payments may result in suspension of the Service.

7. Cancellation

You may cancel your subscription at any time. Cancellation stops future billing; fees already paid are non-refundable except where required by law. Upon cancellation, your access to paid features ends, and your data is handled as described in the Privacy Policy.

8. Availability and changes

We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. We may also update these Terms; material changes will be communicated through the Service or by email, and continued use after changes take effect constitutes acceptance.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will achieve any particular result, including any specific improvement in rankings, reviews, traffic, or revenue.

10. Limitation of liability

To the maximum extent permitted by law, Nosy and THE LUMINA STUDIO SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of (or inability to use) the Service. Our total liability for any claim arising out of or relating to the Service shall not exceed the amounts you paid us for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Nosy and THE LUMINA STUDIO SRL from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.

12. Governing law

These Terms are governed by the laws of Romania. Any disputes shall be subject to the jurisdiction of the competent courts of Romania, without prejudice to any mandatory consumer-protection rights you may have under applicable law.
